4. Payments

Payment terms are defined in the proposal or service agreement you receive.

  • Most projects require an upfront deposit.
  • Retainers are billed monthly.
  • Late payments may result in service delays or suspension.
  • All fees are non-refundable unless stated otherwise.

Invoices not paid by the due date may incur late fees as specified in your agreement.

5. Intellectual Property

Unless otherwise agreed:

  • All pre-existing intellectual property owned by Sloth Desk remains ours.
  • All pre-existing intellectual property owned by you remains yours.
  • Deliverables created for you become your property once all invoices are paid in full

We may display non-confidential aspects of your project in our portfolio unless you request otherwise.

6. No Guaranteed Outcomes

Digital marketing, SEO, and content strategy involve variables outside our control (algorithm changes, competition, client implementation speed, etc.).

Sloth Desk does not guarantee:

  • Specific rankings
  • Traffic numbers
  • Revenue outcomes
  • Time-bound performance results

We commit to delivering expertise, best practices, and data-driven execution.

7. Third-Party Tools

We may use third-party platforms (e.g., Google Analytics, SEMrush, Ahrefs, Meta, LinkedIn, Shopify, WordPress). Sloth Desk is not responsible for:

  • Availability or downtime of third-party services
  • Changes in third-party pricing or features
  • Data loss not caused by our negligence

Clients are responsible for maintaining appropriate access permissions.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the engagement, including:

  • Business data
  • Financial data
  • Marketing insights
  • Access credentials
  • Client or customer information

Confidentiality survives termination of the relationship.

9. SLA / Engagement Policy

This general SLA (“Service Level Agreement”) outlines how we typically manage service engagements. Each client’s contract may include additional or custom SLA items that supersede this summary.

9.1 Communication

  • We primarily communicate via email, shared workspaces, or scheduled calls.
  • Response times are generally 1-2 business days, excluding weekends and holidays.
  • Urgent matters will be handled as reasonably possible.

9.2 Project Timelines

  • Timelines provided in proposals are estimates, not guarantees.
  • Delays due to client approval, asset delivery, or third-party dependencies may affect deadlines.
  • We will notify you of timeline adjustments proactively.

9.3 Client Responsibilities

To ensure smooth execution, clients agree to:

  • Provide timely feedback
  • Deliver required assets (content, logins, brand material)
  • Maintain access permissions to needed tools
  • Approve deliverables within reasonable timeframes

Delays in these areas may pause or extend project timelines.

9.4 Revisions

Unless stated otherwise:

  • Each deliverable includes 1-2 revision cycles
  • Additional revisions may incur extra fees

Revisions are limited to the originally agreed scope.

9.5 Availability

Sloth Desk operates Monday–Friday during regular business hours.
We do not guarantee after-hours or weekend availability unless explicitly stated in your agreement.

9.6 Scope Management

Any request outside the agreed scope (e.g., additional pages, extra campaigns, emergency changes) may require a new quote or contract amendment.

10. Termination

Either party may terminate an engagement by written notice, in accordance with the cancellation terms outlined in the proposal or contract.

Upon termination:

  • All unpaid invoices become immediately due.
  • Access to shared tools or deliverables may be revoked.
  • Work completed up to the termination date will be billed.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Sloth Desk is not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the previous 3 months

This includes damages related to loss of revenue, traffic, or business performance.

12. Governing Law

These Terms are governed by the laws of India.
Any disputes will be resolved in the courts of New Delhi unless both parties agree otherwise.

13. Changes to These Terms

We may update these terms occasionally.
When updated, the “Effective Date” will change.
Continued use of our website or services indicates acceptance of the updated Terms.
